These Terms and Conditions govern your use of event planning services provided by Thread & Form, a professional event organization service operating in Singapore. By engaging our services, submitting an inquiry, or using our website, you agree to be bound by these terms.
If you do not agree with any part of these terms, please do not use our services. These terms constitute a legally binding agreement between you (the "Client") and Thread & Form (the "Company," "we," "us," or "our").
For purposes of these Terms and Conditions:
Our services are available to individuals and organizations planning events in Singapore. To engage our services, you must be at least 18 years of age or have proper authorization to enter into binding contracts.
Clients must provide accurate, complete, and current information during consultations and throughout the planning process. Inaccurate information may affect our ability to deliver services effectively and could result in additional costs or service limitations.
Clients are responsible for making timely decisions, providing necessary approvals, and communicating any changes or concerns promptly. Delays in client responses may affect project timelines and could incur additional costs.
You agree not to use our services for any purpose that:
Following initial consultation, we provide a service proposal outlining scope, timeline, deliverables, and pricing. Services commence upon your written acceptance of the proposal and receipt of the initial payment.
Changes to agreed services must be requested in writing. We will provide revised proposals for significant scope changes, which may affect pricing and timelines. Minor adjustments within the original scope can typically be accommodated without additional charges.
We coordinate with third-party vendors on your behalf but do not guarantee their performance. While we work with reliable providers, ultimate responsibility for vendor services rests with those vendors. We will work diligently to address any vendor issues that arise.
All prices are quoted in Singapore Dollars (S$) unless otherwise specified. Pricing is subject to change for future engagements but remains fixed once a service agreement is accepted.
Standard payment terms require 50% deposit upon agreement acceptance and remaining balance 7 days before the event date. Alternative payment schedules may be arranged for larger or longer-term projects.
We accept bank transfers, checks, and major credit cards. Payment processing fees, if applicable, will be communicated in advance.
Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by Singapore law, whichever is lower. We reserve the right to suspend services for accounts with overdue payments.
Prices do not include applicable taxes unless specifically stated. Clients are responsible for all applicable taxes, which will be calculated and added to invoices as required by Singapore tax law.
Cancellation fees apply as follows based on timing:
Deposits paid to vendors on your behalf are subject to those vendors' cancellation policies and may not be refundable. We will make reasonable efforts to recover vendor deposits when possible.
If you need to postpone your event rather than cancel, we will work with you to reschedule. Service fees already paid can be applied to the new date, though additional charges may apply if significant replanning is required.
All content on our website, including text, graphics, logos, and software, is owned by Thread & Form or licensed to us and protected by Singapore and international intellectual property laws. You may not reproduce, modify, or distribute our content without written permission.
Materials you provide remain your property. By providing materials to us, you grant Thread & Form a license to use them for purposes of providing our services to you.
Event plans, timelines, vendor recommendations, and other materials we create specifically for your event become your property upon full payment. We retain the right to use anonymized versions or general concepts for our portfolio and business development purposes.
Our services are provided on an "as is" basis. While we strive for excellence, we make no warranties regarding specific event outcomes, guest satisfaction, or other results. Event success depends on many factors beyond our control.
We are not liable for failures, delays, or issues caused by third-party vendors, venues, or service providers. We will work diligently to address problems but cannot guarantee vendor performance.
We are not liable for failure to perform services due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, strikes, or other force majeure events.
To the maximum extent permitted by Singapore law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for those services. We are not liable for indirect, consequential, or punitive damages.
You agree to indemnify and hold Thread & Form, its employees, and agents harmless from any claims, damages, or expenses arising from your breach of these terms, your use of our services, or your event activities. This includes legal fees incurred in defending against such claims.
We treat your event details, guest information, and planning discussions as confidential. We will not disclose this information to third parties except as necessary to provide our services or as required by law.
You agree to keep confidential any proprietary information we share about our business practices, vendor relationships, or methodologies.
Clients may terminate services according to the cancellation policy outlined in Section 7. All payments due for services rendered up to the termination date remain payable.
We reserve the right to terminate services if you breach these terms, fail to make payments, or if circumstances make it impractical or impossible to continue. In such cases, fees for completed work remain payable.
Upon termination, we will provide you with all work completed to that point and will assist with transition arrangements as reasonably possible. Confidentiality obligations survive termination.
If disputes arise, both parties agree to first attempt resolution through good-faith negotiations. Please contact us at [email protected] to initiate discussions.
If informal resolution fails, disputes should be submitted to mediation through the Singapore Mediation Centre before pursuing legal action.
These Terms and Conditions are governed by the laws of Singapore. Any legal proceedings shall be conducted in the courts of Singapore, and both parties consent to the exclusive jurisdiction of those courts.
These Terms and Conditions, together with any service agreement or proposal you accept, constitute the entire agreement between you and Thread & Form regarding our services.
If any provision of these terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision. All waivers must be in writing.
You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor entity.
All notices under these terms should be sent to [email protected] or to the addresses specified in service agreements. Notices are considered received when sent by email or three days after mailing.
We may update these Terms and Conditions periodically. Changes become effective upon posting to our website. Significant changes will be communicated to active clients via email. Your continued use of our services after changes indicates acceptance of the updated terms.
